Los Angeles Securities law regulates the exchange
and issuance of stock shares from publicly held corporations
and privately held corporations, and the conduct of
stock brokers and exchanges. They are called securities
because the assets and/or the profits of the corporation
or the credit of the government stand as security

Exchange Act of 1934 which requires that issuers register

rules and regulations to protect the public and investors
by prohibiting manipulative or deceptive devices or
contrivances via mails or other means of interstate
